On 26 March 2026 Corebridge Financial and Equitable Holdings announced a definitive agreement to combine in an all-stock merger, creating a company with USD 1.5 trillion in assets under management and administration that will serve over 12 million customers. On 30 July 2026 stockholders of both companies approved the merger, with about 99.96% of Corebridge and 97.24% of Equitable votes cast in favour. Closing is expected by year-end 2026, subject to regulatory approval and other customary conditions.
Our interpretation · working hypothesis
An all-stock combination builds scale across the two groups without either side paying cash: each shareholder base accepts dilution and shared control in exchange for a share of the larger group. The stated economic case rests on more than USD 500 million of run-rate expense synergies by the end of 2028 and on moving over USD 100 billion of Corebridge's general and separate account assets to AllianceBernstein, Equitable's majority-owned asset manager, which would bring investment-management fees on those assets inside the combined group. Both are management targets; the tests are whether the synergies show up in the expense base and whether the asset transfer happens without weakening the investment returns that back the liabilities.
